1. The parties and formation of the agreement
The provider is TLOP v/Pietro Soli, Danish business registration (CVR) no. 43040383, e-mail hi@thelifeofpiet.com ("TLOP"). The customer is the business entering into the agreement ("the Customer").
The service is sold exclusively to businesses (B2B). The agreement is formed when the Customer has accepted a specific offer in writing (e-mail or text message is sufficient).
2. The service
TLOP provides customer enquiries (leads) to the Customer. The enquiries are generated by local service websites owned and operated by TLOP and are forwarded directly and exclusively to the Customer within the agreed service and geographic area.
The websites, domains and their content remain the property of TLOP. The Customer acquires no rights beyond the right to the enquiries received during the agreement.
3. Price and payment
All prices are exclusive of VAT. The price is agreed individually with each partner and confirmed in writing (e-mail or text message) before the agreement starts. Two pricing models are used, alone or in combination: a fixed monthly subscription, typically DKK 500 to 3,000 per month, prepaid monthly; or a commission per closed sale at a rate agreed with the individual partner.
Commissions are settled monthly: all sales closed in a calendar month are invoiced as one total at the end of that month. Payments are made via MobilePay, payment card or bank transfer, and an invoice is issued for every payment.
4. Delivery
Delivery begins once the agreement is entered into. Enquiries are forwarded to the Customer on an ongoing basis as they come in. The number, frequency and timing of enquiries depend on actual demand and cannot be predicted or guaranteed by TLOP.
5. Right of withdrawal
As the service is sold exclusively to businesses, the right of withdrawal under the Danish Consumer Contracts Act does not apply. There is no right of withdrawal unless otherwise agreed in writing.
6. Term and termination
The agreement runs until terminated and has no minimum term. Either party may terminate it at any time in writing (e-mail or text message is sufficient). On termination, TLOP stops forwarding enquiries, and any outstanding amounts, including commissions for sales already closed, are invoiced at the end of the current month.
7. Late or missing payment
If a payment fails or is not made, a reminder is sent. If payment has not been completed within 14 days of the reminder, TLOP may stop forwarding enquiries and offer them to another business. Amounts due remain payable.
8. Complaints
Faults or defects in the service are reported to hi@thelifeofpiet.com. TLOP responds to complaints within 5 business days and remedies documented faults free of charge.
9. Liability
TLOP does not guarantee a specific number of enquiries or that enquiries lead to sales, but strives for stable operation through established providers.
TLOP is not liable for indirect losses, including loss of business, lost revenue or lost customer enquiries. TLOP's total liability under the agreement is limited to an amount equal to the fees paid by the Customer over the preceding 12 months.
10. Data processing
Enquiries are processed on the Customer's behalf and forwarded to the Customer. The Customer is the data controller for these enquiries; TLOP is the data processor.
TLOP uses the following sub-processors: Vercel (hosting), Google (forms and spreadsheets) and Twilio (telephony). Enquiries are not stored longer than necessary for the forwarding.
11. Disputes, governing law and venue
The agreement is governed by Danish law. Disputes are first sought resolved through dialogue between the parties. Failing that, the dispute is settled by the Court of Aalborg, Denmark.
